General Terms and Conditions of Sale by DotVision 

Entire Agreement 

These conditions, together with any specific conditions specified in the contract, constitute the entire sales agreement. They prevail over any purchasing conditions, except for a formal and express waiver on our part. Placing an order implies the full and unconditional adherence of the customer to these conditions, canceling and replacing the previous ones, and may be modified without notice. 

Please note that special sales conditions apply to transactions and services associated with DotVision Motion and MyMotion. This includes sales and rentals of GPS beacons as well as geolocation services via the DotVision Motion mobile applications, and the associated services provided by the Motion/MyMotion platform for GNSS beacon tracking. These special conditions apply to all transactions concluded between the Buyer and the Seller, whether directly with the Seller or through the Company’s website. They are an integral part of the Contract between the parties. By making a transaction on our site or by directly engaging in a business relationship with the Seller, the Buyer acknowledges having read and accepted these special sales conditions.

Order 

Our offers, quotes, and proposals remain valid for one month from their issuance, unless there is a significant change in economic and social conditions. Work begins upon the written acceptance of the quote or upon receiving a signed purchase order, indicating the proposal or quote number and its amount. The signing of the purchase order constitutes full acceptance of these general conditions. 

Modification or Cancellation of Order 

Any modification or cancellation of an order must be notified by registered letter with acknowledgment of receipt to the registered office of DOTVISION before the start of services or supplies. In case of termination, cancellation, or postponement of the order beyond six months, any ongoing phase will be due in full payment. In the event of a unilateral departure from the contract by the customer, DOTVISION may claim damages for the harm suffered. 

Prices / Corrections 

DOTVISION reserves the right to modify product prices at any time and correct any price errors that may occur inadvertently. Any price changes will not affect orders already accepted by DOTVISION. In case of a price error, we will inform you of the error and allow you to either proceed with the transaction at the correct price or cancel your order without charge. 

Execution and Deadlines 

DOTVISION undertakes to carry out contractual mandates diligently. The provided deadlines are indicative, and any delay does not entitle to damages. DOTVISION may use third parties for execution, remaining responsible for the diligent choice and instruction. 

Receipt 

The customer must check the work upon receipt. In the absence of objections by registered letter with acknowledgment of receipt within two weeks following delivery, the work is considered received, and DOTVISION’s liability is limited as defined in Article 8. 

Transport – Delivery 

We systematically ship our devices by international express transport. Delivery charges may apply depending on the destinations. According to applicable regulations, our devices may not be available for sale in certain countries. 

Please note that the actual delivery of your order may be affected by many events beyond DOTVISION’s control once it has left our premises. However, we will inform you of any significant delays and contact you to ensure smooth delivery. 

The risk of loss or damage to the ordered products is transferred to you when you physically take possession of the products. Ownership of the products is transferred to you at the time of product withdrawal by the carrier from our warehouse. At this point, you will receive a shipping notice by email. In case of an issue with the delivery, please contact DOTVISION for assistance. 

Invoicing 

Invoices are issued in accordance with the quote, proposal, or contract. Unless otherwise agreed, payment is due within 30 days. Any delay incurs late payment interest. DOTVISION may terminate the contract in case of non-payment or non-performance, after a futile formal notice. 

Responsibilities 

DOTVISION ensures diligent execution of the work. Defects must be notified in writing within three months. The customer is responsible for the application of the results. DOTVISION disclaims any liability for direct or indirect damages and does not guarantee the use of prototypes by untrained personnel. 

Force Majeure 

DOTVISION is released from its obligations in case of force majeure. The list is not exhaustive and includes strikes, acts of terrorism, civil wars, destruction of premises, government decisions, etc. 

Reservation of Ownership 

Delivered goods remain the property of DOTVISION until full payment. In case of judicial settlement or liquidation of the customer, DOTVISION may prohibit the use of the remaining goods. 

Warranty 

DOTVISION offers a limited manufacturer’s warranty of two years. The general conditions applicable to the warranty can be consulted online at Garantie – DotVision

If you have an issue with your order or want to know the status of your order, please contact us by email or chat from Monday to Friday from 9:00 AM to 7:00 PM. 

Availability and Restrictions 

We strive to manufacture as many products as possible, but constraints may affect their availability. DOTVISION may have to limit the number of products available for purchase. DOTVISION reserves the right. 

Dispute 

In case of a dispute, the Commercial Court of Melun has jurisdiction. The contract is governed by French law.
